5) Promptly inform Norway or its representatives

of any condition that interferes with or threatens to interfere with the successful implementation of the Project;

6) Submit to Norway:

For approval, the contracts to be concluded between LNETI and Det norske Veritas according to article iv, section 4;

For information:

Summaries of tenders received and contracts awarded pertaining to the Project;

Final drawings and cost estimates for the laboratory campus including time schedule for the construction works;

7) Undertake the obligations as regarded Nor-

wegian personnel as outlined in Annex II to this Agreement.

ARTICLE IV Co-operation — Administration — Representation

1—Portugal and Norway shall co-operate fully to ensure that the Project is implemented in an efficient manner. To that end bach party shall furnish to the other all such information as it may reasonably require and shall be free to send its representatives to visit the sites of activities to be undertaken under the Project.

2 — The Portuguese Ministry of Industry and Energy, represented by LNETI, shall be authorized to represent Portugal as to the implementation of this Agreement:: ■

The Norwegian Agency for International Development (NORAD) shall be authorized to represent Norway as to the implementation of this Agreement.

3 — Portugal shall establish a steering committee and a management cabinet to be responsible for the administration of the Project.

i) The main task of the steering committee will be: The economic control of the Project; Decisions and control of organizational matters; Decisions on Project alternatives, solutions and

final form; Control of progress.

•The steering committee will consist of members from 0, a): The Portuguese Ministry of Finance and Planning, the Portuguese Ministry of Industry and Energy, LNETI, Det norske Veritas. NORAD shall be entitled to have an observer in the steering committee. The steering committee shall be vorking until the Project is completed.

ii) The management cabinet will be under the direction of the steering committee and will use English and Portuguese as working language. The legal language will be English. The cabinet shall present monthly reports to the steering committee. The monthly reports shall include:

. Status of the Project; - ; Economical survey;

Present and planned activities; Quantitative and qualitative surveys.

4 — LNETI will enter into contracts with Det norske Veritas regarding:

The management assistance to the Project; The execution of a training programme for the

new LNETI laboratories and assistance on

seminars to Portuguese industry; Consultative assistance in programming LNETI's

needs.

ARTICLE V Disbursements — Reports

1 — i) An amount of Norwegian Kroner 5,000,000, to meet the immediate financial requirements of the Project, shall be paid to Portugal upon the date of effectiveness of this Agreement and shall be accounted for in the first request for disbursement according to section 2 below.

ii) Disbursements according to sub-paragraph i) above can only be effective when the contracts referred to in article iv, section 4, have been signed by LNETI and Det norske Veritas and approved by NORAD.

2 — Portugal shall submit to Norway:

i) By 1 January and 1 July each year, requests

for disbursements from the grant. The requests shall contain:

Statements of expenditures incurred during the preceding six months;

Estimate of financial requirements for the forthcoming six months;

Progress reports describing activities performed and activities to be performed.

Payments will be effected upon approval of NORAD of the requests;

ii) Within one year after the end of each Portu-

guese fiscal year audited accounts in respect of the Project.

3 — Norway will remunerate Det norske Veritas for services rendered and costs incurred directly in accordance with:

0 The payment schedules in the management contract and in the contract for consultative assistance between LNETI and Det.norske Veritas. Payments will be made by.Norway upon notice from the steering committee based on the report from the management cabinet, on Det norske Veritas' progress in completing the services;

ii) The contract between Det norske Veritas and LNETI regarding the training programme/ industrial seminars. Payments will be effected upon receipt of invoices from Det norske Veritas certified by LNETI.

4 — Norway may upon request from Portugal undertake payments directly or other Norwegian consultants/suppliers involved in the Project. The payments will be made according to invoices from the consultants/suppliers certified by the steering committee.

5 — Norway shall forward to Portugal semi-annual reports on payments made by Norway according to sections 3 and 4 above.
