Settlement of conflicts

Article XXI Arbitration

The contracts signed by the Group with any singular person with permanent residence or a corporation with offices in Portugal, that have a formal character, shall include an arbitration clause so that conflicts resulting from interpretation or implementation difficulties can be submitted by all parties for arbitration, except when contracts are subjected to their own regulations.

Article XXII Submission to the International Arbitration Court

When required by the Government, the Group has to submit to the International Arbitration Court all disputes that:

a) Result from damages caused by the Group;

b) Involve other civil liability;

c) Involve an employee or an expert from the Group that has requested judicial immunity in compliance with this Agreement when his immunity has not been renounced.

Article XXU3

Settlement of conflicts between the Group and the Government

All conflict between the Group and the Government about the interpretation or application of this Agreement or any other matter that affects relations between the Group and the Government, that do not include fiscal matters, and cannot be solved through negotiations, shall be submited to an arbitration court composed by three judges to give a final decision. One judge shall be appointed by the Minister of Foreign Affairs, another by the Group's secretary-general, and the third, who shall preside, shall be chosen by the other two judges. If the two judges that are appointed respectively by the Minister of Foreign Affairs and by the secretary-general cannot come to an agreement as to the third judge within 6 months of their nomination, the latter shall be chosen by the president of the International Court of Justice, when requested both by the Group and by the Government.

Final and transitory dispositions

Article XXIV Entry into force

This Agreement shall take effect following the settle-ment of the Group and shall enter into force on the date of the final notification of the fulfillment of the formalities required by the statutes of the Group and by the Portuguese legal system.

Article XXV Modification and resolution

. 1 —The Group and the Government may request that consultations take place concerning the application or

modification of this Agreement. Any proposal of modification or change of the Agreement may be formalized through an exchange of letters between the secretary-general, after approval by the Group, and the Government.

2 — The Agreement can be solved by mutual agreement between the Group and the Government. In the event that the headquarters of the Group is withdrawn from the Portuguese territory, the Agreement shall cease to be in force within a reasonable date, to be established by both parties, so that the transfer of the headquarters may be concluded.

Article XXVI Transitory disposition

Regarding fiscal benefits, the Agreement shall take effect from the day on which the International Copper Study Group began its operations in Lisbon, the 1st January 1993.

ACORDO DE SEDE ENTRE 0 GRUPO INTERNACIONAL DE ESTUDOS DO COBRE E A REPÚBLICA PORTUGUESA

O Grupo Internacional de Estudos do Cobre e a República Portuguesa, com o objectivo de definir o estatuto, os privilégios e as imunidades do Grupo e das pessoas singulares a ele vinculadas, estabeleceram o seguinte Acordo:

Disposições iniciais

Artigo 1.° Definições

Para os fins deste Acordo entende-se que:

a) «Grupo» é o Grupo Internacional de Estudos do Cobre;

b) «Governo» é o Govemo da República Portuguesa;

c) «Representantes» são os representantes dos Estados membros do Grupo, chefes de delegações ou os seus substitutos;

d) «Instalações do Grupo» são os prédios urbanos ou fracções autónomas e seus logradouros utilizados para os fins oficiais do Grupo;

e) «Actividades oficiais do Grupo» incluem as actividades administrativas e quaisquer outras compatíveis com os estatutos do Grupo em vigor;

f) «Secretariado» inclui o secretário-geral e todas as pessoas designadas ou contratadas a tempo inteiro para o Grupo e que ficam sujeitos aos seus regulamentos, exceptuando peritos, pessoal auxiliar de apoio ao Grupo e pessoal recrutado localmente e em regime de prestação de serviços.

Artigo 2.° Objectivos

Este Acordo tem por finalidade proporcionar ao Grupo as condições necessárias ao cumprimento integral e eficiente dos seus objectivos, funções e obrigações na sua sede em Portugal, devendo, como tal, ser interpretado.
